Circuit City has another mess to deal with. In addition to fending off Blockbuster (NYSE: BBI), it now has a proxy fight on its hand. Wattles Capital Management, a 6.5 percent holder of the company’s shares, has submitted a slate of five candidates to the company’s board. In its statement, the firm derides the company’s operating performance, adding: “we are deeply concerned by the Boardâs track record of rejecting what has appeared to be legitimate third-party interest in acquiring the Company for a premium, including the recent offer of Blockbuster Inc. to acquire the Company for between $6.00 and $8.00 per share in cash.” While Circuit City has questioned where the financing will come from, Wattles says this is hogwash, given that Carl Icahn has apparently agreed to finance the deal.

Lee Enterprises: E&P takes a look at the goodwill writedowns across the newspaper industry, as acquisitions have consistently failed to live up to plans. Every time there’s a goodwill writedown, the company is sure to note that it’s a non-cash charge and doesn’t effect operations, but it’s still indicative of a failed strategy. Lee is one publisher that hasn’t taken a writedown; this despite the fact that the company is a sliver of what it was worth when it acquired Pulitzer for $1.4 billion. From its latest 10-Q: “The Company analyzed the recoverability of such assets as of December 30, 2007, due primarily to the difference between its stock price and the per share carrying value of its net assets. The Company concluded that the fair value of its business exceeded the carrying value of its net assets as of December 30, 200

I like Sony, as a game company at least (uh oh). Know why? They're a company that doesn't binge itself so much on marketing and PR that they won't admit their weaknesses. Too many interviews feature journalists asking the same tired questions and the company president or developer or whatever answering with the same tired answers. But typically at this point we just get tired answers anyway, marketing psychobabble the company owner or whoever was told to say if any 'tough questions' came up. So that's why I like Sony.
