After eBay sued Craigslist, Craigslist's initial responses were rather weak. eBay made a pretty strong case arguing that Craigslist's board had unilaterally diluted eBay's shares -- which seems pretty questionable. Craigslist initially shot back by accusing eBay of doing the same things eBay was accusing Craigslist of doing -- but that was somewhat misleading. eBay wasn't complaining about the specific actions Craigslist was taking -- but the fact that they had done so unilaterally, despite eBay's ownership stake and board position. Then, Craigslist countersued eBay with a laundry list of charges that effectively amounted to "we don't like them being on our board." Both of these responses were a bit disappointing. Although Craigslist originally said that it couldn’t respond to the allegations made in eBay’s (EBAY) lawsuit against the company, it seems that Craig and/or Jim couldn’t help themselves: The Craigslist blog has a post up entitled “Kettles and Pots” which notes that many of the things eBay is accusing Craigslist of doing are things that eBay has either also done with its own shares, or has previously argued should be done with Craigslist shares. Classified-advertising site Craigslist is countersuing eBay, accusing the online auction company of using its stake in Craigslist to misappropriate proprietary information and engage in false advertising, trademark infringement and a host of other wrongdoings. The suit, filed in a San Francisco court, is a response to eBay's suit filed April 22 against Craigslist, which charged that Craigslist's board of directors secretly plotted to dilute eBay's 28.4 percent investment in the site after eBay launched a competing online classified-advertising service called Kijiji. EBay launched Kijiji overseas in 2005 and in the U.S. last year.

Execs at Craigslist felt threatened by eBay and made calculated moves to reduce eBay's equity and decision-making powers in the company, according to eBay's newly-unsealed lawsuit (PDF). eBay says that Craigslist CEO Jim Buckmaster and founder Craig Newmark "breached their fiduciary duties of care, loyalty, and good faith by implementing certain self-dealing transactions... which were designed specifically to benefit themselves to the detriment of eBay." eBay is asking that the courts rescind or declare void the decisions made by Buckmaster and Newmark, and seeks recissory damages, attorney's fees, and other costs involved in filing the suit.

Craigslist CEO: eBay lawsuit reeks of hypocrisy

Craigslist's CEO Jim Buckmaster believes that eBay's lawsuit is an exercise in hypocrisy, in no small part because the online auction giant has taken many of the same measures Craigslist did in order to protect itself. There is a little more info out there today regarding that lawsuit eBay brought against Craigslist last week. Craigslist is allegedly diluting eBay's stake in the company unfairly.
